{"id":45629,"date":"2013-09-12T00:23:47","date_gmt":"2013-09-11T22:23:47","guid":{"rendered":"http:\/\/businesstech.co.za\/news\/?p=45629"},"modified":"2013-09-12T10:08:49","modified_gmt":"2013-09-12T08:08:49","slug":"toptv-rescue-deal-drags-on","status":"publish","type":"post","link":"https:\/\/businesstech.co.za\/news\/media\/45629\/toptv-rescue-deal-drags-on\/","title":{"rendered":"TopTV rescue deal drags on"},"content":{"rendered":"<p>On Digital Media (<a title=\"ODM\" href=\"http:\/\/businesstech.co.za\/forum\/showthread.php\/5794-On-Digital-Media\">ODM<\/a>), parent company of pay-television operator\u00a0<a title=\"TopTV\" href=\"http:\/\/businesstech.co.za\/forum\/showthread.php\/5793-TopTV\">TopTV<\/a>,\u00a0has earmarked November to conclude a rescue plan deal with Chinese firm\u00a0<a title=\"StarTimes\" href=\"http:\/\/businesstech.co.za\/forum\/showthread.php\/8113-StarTimes\">StarTimes<\/a>.<\/p>\n<p>On Digital Media\u00a0commenced business rescue proceedings as far back as 31 October 2012, having slipped into\u00a0financial distress for an extended period of time.<\/p>\n<p>In March, a\u00a0source close to TopTV told BusinessTech that TopTV was close to running out of funds, while a\u00a0spokesperson for ODM said that some staff had left the group due to financial constraints.<\/p>\n<p>In a business rescue status report released on 5 September 2013, legal firm, Bowman Gilfillan noted that Peter van den Steen, the business rescue\u00a0practitioner\u00a0of ODM, continues to work with all parties to ensure\u00a0fulfillment of suspensive conditions.<\/p>\n<p>ODM announced at the end of April that it would proceed with a rescue plan which would see StarTimes acquiring a 20% stake in the group.<\/p>\n<p>StarTimes would acquire a 20% stake in TopTV, and provide \u201csufficient additional capital\u201d to pay off the company\u2019s creditors to ensure solvency.<\/p>\n<p>Local regulations currently cap foreign ownership on licensed broadcasting entities at 20%.<\/p>\n<p><strong>Rescue Update<\/strong><\/p>\n<p>&#8220;Importantly, the shareholder&#8217;s agreement amongst the new shareholders of ODM has been signed. It was signed on 1 August 2013 by the majority of the parties, with a few final signatories signing that agreement shortly thereafter&#8221; a document on ODM&#8217;s website read.<\/p>\n<p>&#8220;In addition, the shareholder&#8217;s agreement amongst the shareholders of the &#8216;Company B&#8217;, being the new\u00a0company\u00a0that will provide transmission services to ODM, was signed,&#8221; the document said.<\/p>\n<p>A person working for ODM on the rescue deal said that shareholders were working on the\u00a0fulfillment\u00a0of the regulatory suspensive conditions contained in the business rescue plan.<\/p>\n<p>He said that TopTV, meanwhile, continues to operate as a going concern.<\/p>\n<p>&#8220;Assuming that there are no undue delays in the regulatory process, there is a strong enough possibility that the\u00a0implementation\u00a0date will be reached by November or before,&#8221; the document said.<\/p>\n<p><strong>StarTimes<\/strong><\/p>\n<p>Under terms of the original agreement in April, StarTimes would pay R30 million to TopTV\u2019s main backer, the Development Bank of Southern Africa (<a title=\"DBSA\" href=\"http:\/\/businesstech.co.za\/forum\/showthread.php\/7242-Development-Bank-of-Southern-Africa-DBSA\">DBSA<\/a>) and offer it an equity opportunity of 1.99% of the issued share capital in NEWCO.<\/p>\n<p>ODM was believed to owe the DBSA in excess of R200 million.
