{"id":496545,"date":"2021-06-07T12:13:12","date_gmt":"2021-06-07T10:13:12","guid":{"rendered":"https:\/\/businesstech.co.za\/news\/?p=496545"},"modified":"2021-06-07T12:13:12","modified_gmt":"2021-06-07T10:13:12","slug":"scrapping-the-burger-king-south-africa-deal-over-bee-will-hurt-future-investments-industry","status":"publish","type":"post","link":"https:\/\/businesstech.co.za\/news\/business\/496545\/scrapping-the-burger-king-south-africa-deal-over-bee-will-hurt-future-investments-industry\/","title":{"rendered":"Scrapping the Burger King South Africa deal over BEE will hurt future investments: industry"},"content":{"rendered":"<p>The Southern African Venture Capital and Private Equity Association (SAVCA) says the Competition Commission&#8217;s decision to block a major transaction due to BEE concerns will set off alarm bells for future investors.<\/p>\n<p>Last week, the commission <strong><a href=\"https:\/\/businesstech.co.za\/news\/business\/495241\/burger-king-acquisition-blocked-over-lack-of-bee\/\" target=\"_blank\" rel=\"noopener\">formally blocked<\/a> <\/strong>pan-African private equity firm Emerging Capital Partners (ECP) from purchasing fast-food chain Burger King South Africa and Grand Foods Meat Plant.<\/p>\n<p>The basis of the decision was not as a result of concerns around competition, but that &#8220;the proposed merger cannot be justified on substantial public interest grounds&#8221;.<\/p>\n<p>The commission said that the proposed merger will have a &#8220;substantial negative effect on the promotion of greater spread of ownership&#8221;, in particular to increase the levels of ownership by historically disadvantaged persons in firms in the market as contemplated in section 12A(3)(e) of the Competition Act&#8221;.<\/p>\n<p>The specific concern was that the holding of historically disadvantaged persons would drop from 68% to 0%.<\/p>\n<p>While SAVCA said it is fully supportive of B-BBEE legislation and the transformation of the country, it warned that the ruling will set a precedent and highlights\u00a0the risks associated with South Africa\u2019s ability to continue attracting foreign capital and its impact on the local private equity industry in the country.<\/p>\n<p>&#8220;We note that there are competing factors at play in the \u2018public interest\u2019 considerations, and appreciate that weighing all of these against each other is highly complex and nuanced,&#8221;
