{"id":685159,"date":"2023-05-04T15:41:14","date_gmt":"2023-05-04T13:41:14","guid":{"rendered":"https:\/\/businesstech.co.za\/news\/?p=685159"},"modified":"2023-05-05T07:25:00","modified_gmt":"2023-05-05T05:25:00","slug":"how-much-it-pays-to-be-on-a-company-board-in-south-africa","status":"publish","type":"post","link":"https:\/\/businesstech.co.za\/news\/wealth\/685159\/how-much-it-pays-to-be-on-a-company-board-in-south-africa\/","title":{"rendered":"How much it pays to be on a company board in South Africa"},"content":{"rendered":"<p>Professional services company PwC has published its Non-executive directors: Practices and fees trends report for 2022, highlighting how much top management earns at some of the largest companies in the country.<\/p>\n<p>PwC noted that <span dir=\"ltr\" role=\"presentation\">the top 200 JSE-listed <\/span><span dir=\"ltr\" role=\"presentation\">companies are used for this analysis as opposed <\/span><span dir=\"ltr\" role=\"presentation\">to the full list of JSE-listed companies used in prior <\/span><span dir=\"ltr\" role=\"presentation\">years.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">This analysis is based on active directors as of <\/span><span dir=\"ltr\" role=\"presentation\">31 October 2022. In instances where non-executive <\/span><span dir=\"ltr\" role=\"presentation\">directors have resigned from their positions, we have <\/span><span dir=\"ltr\" role=\"presentation\">excluded them, said PwC.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">If the non-executive directors have been <\/span><span dir=\"ltr\" role=\"presentation\">appointed to their roles after the financial year\u2019s end, <\/span><span dir=\"ltr\" role=\"presentation\">they also have been excluded from the analysis. <\/span><span dir=\"ltr\" role=\"presentation\">Where non-executive directors have been remunerated <\/span><span dir=\"ltr\" role=\"presentation\">in foreign currency, their fees have been converted into <\/span><span dir=\"ltr\" role=\"presentation\">South African rand using the exchange rates of the cut-<\/span><span dir=\"ltr\" role=\"presentation\">off date (31 October 2022).<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">The four categories of non-executive board members <\/span><span dir=\"ltr\" role=\"presentation\">analysed are:<\/span><\/p>\n<ul>\n<li><span dir=\"ltr\" role=\"presentation\">Chairperson;<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">Deputy chairperson;<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">Lead independent director; and <\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">Non-executive director.<\/span><\/li>\n<\/ul>\n<p><span dir=\"ltr\" role=\"presentation\">The role of a chairperson requires a large time <\/span><span dir=\"ltr\" role=\"presentation\">commitment. The chairperson&#8217;s involvement level has <\/span><span dir=\"ltr\" role=\"presentation\">also increased due to additional work to be carried <\/span><span dir=\"ltr\" role=\"presentation\">out between scheduled meetings, organisational <\/span><span dir=\"ltr\" role=\"presentation\">representation externally (or external organisational <\/span><span dir=\"ltr\" role=\"presentation\">representation duties), and interacting with fellow board <\/span><span dir=\"ltr\" role=\"presentation\">members and employees, said PwC.\u00a0<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">Some boards include the position of deputy <\/span><span dir=\"ltr\" role=\"presentation\">chairperson. This person assists the chairperson and <\/span><span dir=\"ltr\" role=\"presentation\">fills in at meetings if the chairperson is unavailable, added the firm.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">The lead independent director is required to preside <\/span><span dir=\"ltr\" role=\"presentation\">over all board meetings at which the chairperson is <\/span><span dir=\"ltr\" role=\"presentation\">not present, or where the chairperson is conflicted, <\/span><span dir=\"ltr\" role=\"presentation\">including any session of the independent directors.<\/span><\/p>\n<p>PwC noted that, o<span dir=\"ltr\" role=\"presentation\">ver the last few years, we have observed that lead <\/span><span dir=\"ltr\" role=\"presentation\">independent directors have begun to play a larger <\/span><span dir=\"ltr\" role=\"presentation\">role on boards, taking on greater prominence and <\/span><span dir=\"ltr\" role=\"presentation\">responsibility in driving board independence. <\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">This has <\/span><span dir=\"ltr\" role=\"presentation\">resulted in lead independent director fees increasing <\/span><span dir=\"ltr\" role=\"presentation\">more rapidly than other positions on boards.<\/span><\/p>\n<p>Lastly, <span dir=\"ltr\" role=\"presentation\">non-executive directors are required to make up the <\/span><span dir=\"ltr\" role=\"presentation\">majority of a board\u2019s membership. The majority of non-<\/span><span dir=\"ltr\" role=\"presentation\">executive directors should also be independent, said PwC.<\/span><\/p>\n<p>According to the report, the average remuneration for these positions across the top 200 companies <strong>ranged from R472,000 to R3.47 million per annum.\u00a0<\/strong><\/p>\n<p>Fees paid to chairpersons averaged R2.7 million, while the median was around R1.4 million. On the lower end, some earned just under a million at R875,000, while the upper end of the spectrum earned just over R3.5 million.<\/p>\n<p><span dir=\"ltr\" role=\"presentation\">Deputy chairpersons took home an average of R2.08 million, with the lower end taking home R680,000. However, top deputy chairs saw as much as R3.47 million, which is more than most chairpersons.\u00a0<\/span><\/p>\n<p>Non-executive directors raked in the least, averaging R1.18 million, while lead independent directors averaged slightly more at just over R1.4 million.<\/p>\n<p><a  data-lightbox=\"post-image\" href=\"https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/pay1.png\"><img loading=\"lazy\" decoding=\"async\" class=\"aligncenter size-full wp-image-685167\" src=\"https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/pay1.png\" alt=\"\" width=\"616\" height=\"612\" srcset=\"https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/pay1.png 616w, https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/pay1-300x298.png 300w, https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/pay1-150x150.png 150w\" sizes=\"auto, (max-width: 616px) 100vw, 616px\" \/><\/a> <a  data-lightbox=\"post-image\" href=\"https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/pay2.png\"><img loading=\"lazy\" decoding=\"async\" class=\"aligncenter size-full wp-image-685165\" src=\"https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/pay2.png\" alt=\"\" width=\"618\" height=\"610\" srcset=\"https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/pay2.png 618w, https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/pay2-300x296.png 300w\" sizes=\"auto, (max-width: 618px) 100vw, 618px\" \/><\/a><\/p>\n<p><strong>Super caps\u00a0<\/strong><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">Super caps represent the top ten companies on <\/span><span dir=\"ltr\" role=\"presentation\">the JSE. As of 31 October 2022, these companies <\/span><span dir=\"ltr\" role=\"presentation\">accounted for 69.7% of the JSE\u2019s total market <\/span><span dir=\"ltr\" role=\"presentation\">capitalisation.<\/span><\/p>\n<p>The companies that make up the JSE top ten are shown in the table below, while the figures that follow illustrate remuneration averages calculated for them, PwC said.<\/p>\n<p><a  data-lightbox=\"post-image\" href=\"https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/Super-caps.png\"><img loading=\"lazy\" decoding=\"async\" class=\"aligncenter size-full wp-image-685169\" src=\"https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/Super-caps.png\" alt=\"\" width=\"340\" height=\"372\" srcset=\"https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/Super-caps.png 340w, https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/Super-caps-274x300.png 274w\" sizes=\"auto, (max-width: 340px) 100vw, 340px\" \/><\/a><\/p>\n<p>An examination of fees paid across the JSE\u2019s super caps shows that the average salary for chairpersons was as much as <strong>R14.46 million.<\/strong><\/p>\n<p>The average pay for non-executive directors was <strong>R3.47 million<\/strong>, with the top earners making <strong>R4.87 million<\/strong>.<\/p>\n<p><a  data-lightbox=\"post-image\" href=\"https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/Super-cap-salaries.png\"><img loading=\"lazy\" decoding=\"async\" class=\"aligncenter size-full wp-image-685173\" src=\"https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/Super-cap-salaries.png\" alt=\"\" width=\"630\" height=\"612\" srcset=\"https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/Super-cap-salaries.png 630w, https:\/\/businesstech.co.za\/news\/wp-content\/uploads\/2023\/05\/Super-cap-salaries-300x291.png 300w\" sizes=\"auto, (max-width: 630px) 100vw, 630px\" \/><\/a><\/p>\n<p>The report further detailed the salary spread among large, medium, and small-cap companies and their chairpersons in various industries \u2013 including <span dir=\"ltr\" role=\"presentation\">Consumer Discretionary, Consumer Staples, Health Care, <\/span><span dir=\"ltr\" role=\"presentation\">Telecommunications, Industrials and Technology industries.<\/span><\/p>\n<p>Chairpersons in the large-cap Consumer Discretionary sector far out-earned any other industry, making on average R20.39 million. In contrast, those on the board of large-cap Health Care companies earned the least, making R3.45 million on average.<\/p>\n<p>Chairpersons in the medium-cap Technology sector were paid the most compared to others, such as Industrials and Basic Materials \u2013 earning R3.69 million compared to R2 million and R2.5 million, respectively.<\/p>\n<p>Additionally, chairpersons within the small-cap industries \u2013 including AltX that are included in the JSE Top 200 \u2013 found fortune in the Real Estate sector, making on average R1.43 million.
