{"id":767129,"date":"2024-04-09T14:27:25","date_gmt":"2024-04-09T12:27:25","guid":{"rendered":"https:\/\/businesstech.co.za\/news\/?p=767129"},"modified":"2024-04-09T14:27:32","modified_gmt":"2024-04-09T12:27:32","slug":"major-red-flags-for-new-state-owned-company-in-south-africa","status":"publish","type":"post","link":"https:\/\/businesstech.co.za\/news\/government\/767129\/major-red-flags-for-new-state-owned-company-in-south-africa\/","title":{"rendered":"Major red flags for new state-owned company in South Africa"},"content":{"rendered":"\n<p>The Department of Public Enterprises (DPE) has outlined its plans for\u2014and the biggest risks and challenges facing\u2014a new state-owned holding company that will house all the major SOEs in the country.<\/p>\n\n\n\n<p>The DPE&#8217;s <a href=\"https:\/\/static.pmg.org.za\/DPE_APP_2024.pdf\" target=\"_blank\" rel=\"noreferrer noopener\">2024\/25 Annual Performance Plan<\/a> forwards the department&#8217;s plans to establish a National State Enterprise Holding Company in hopes of turning around the fate of many ailing state-owned enterprises (SOEs) in the country.<\/p>\n\n\n\n<p>&#8220;Unfortunately, the performance of SOEs\u2019 has been undermined by factors such as poor governance, malfeasance, lack of accountability and consequence management as well as a loss\/lack of skills amongst others [which] has impacted negatively on the respective SOEs\u2019 finances and operations,&#8221; the department said.<\/p>\n\n\n\n<p>A big part of what the DPE describes as &#8220;reform efforts for SOEs,&#8221; is seen in its gazetted <a href=\"https:\/\/www.parliament.gov.za\/storage\/app\/media\/Bills\/2024\/B1_2024_National_State_Enterprises\/B1_2024_National_State_Enterprises.pdf\" target=\"_blank\" rel=\"noreferrer noopener\">National State Enterprises Bill<\/a> (NSEB).<\/p>\n\n\n\n<p>This bill proposes, among other provisions, the creation of a new state-owned holding company with the state as the sole shareholder \u2013 the State Asset Management SOC Ltd.  <\/p>\n\n\n\n<p>This would have commercial SOEs\u2014such as Eskom and Transnet\u2014as subsidiaries of the holding company, which would ultimately manage their finances.<\/p>\n\n\n\n<figure class=\"wp-block-embed is-type-wp-embed is-provider-businesstech wp-block-embed-businesstech\"><div class=\"wp-block-embed__wrapper\">\n<blockquote class=\"wp-embedded-content\" data-secret=\"PoRqzzaW67\"><a href=\"https:\/\/businesstech.co.za\/news\/government\/752325\/state-companies-rack-up-more-losses-as-taxpayers-sink-r325-billion-into-bailouts\/\">State companies rack up the losses as taxpayers sink R325 billion into bailouts<\/a><\/blockquote><iframe loading=\"lazy\" class=\"wp-embedded-content\" sandbox=\"allow-scripts\" security=\"restricted\" style=\"position: absolute; clip: rect(1px, 1px, 1px, 1px);\" title=\"&#8220;State companies rack up the losses as taxpayers sink R325 billion into bailouts&#8221; &#8212; BusinessTech\" src=\"https:\/\/businesstech.co.za\/news\/government\/752325\/state-companies-rack-up-more-losses-as-taxpayers-sink-r325-billion-into-bailouts\/embed\/#?secret=MH5GZgkDLt#?secret=PoRqzzaW67\" data-secret=\"PoRqzzaW67\" width=\"500\" height=\"282\" frameborder=\"0\" marginwidth=\"0\" marginheight=\"0\" scrolling=\"no\"><\/iframe>\n<\/div><\/figure>\n\n\n\n<p>According to the DPE, the establishment of a state-owned holding company is meant for effective oversight of previously eroded state-owned companies, while separating the operational, regulatory, and policy-making roles of government which had become blurred and unstable, particularly in the State Capture era.<\/p>\n\n\n\n<p>&#8220;These initiatives aim to strengthen Governance systems, ensure board stability, and promote financial and operational stability across SOEs\u2019,&#8221; said the report. <\/p>\n\n\n\n<p>The board of the holding company, who would be recommended by an advisory committee,&nbsp;will be tasked with pursuing &#8220;a strategic direction consistent with Statements of Strategic Intent, Shareholder Compacts, Memoranda of Incorporation, and the SOE Performance Appraisal System.&#8221;<\/p>\n\n\n\n<p>The department said that the board would need to regularly assess and improve the various business models while creating financial stability plans to ensure that the subsidiary SOEs become financially self-reliant.<\/p>\n\n\n\n<p>In the report, DPE identified various challenges, risks, causes and mitigation plans for the proposed holding company &#8211; including red flags for state capture.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>&#8220;State Capture 2.0&#8221;<\/strong><\/p>\n\n\n\n<p>Much of the annual performance plan outlines that some of the most prevailing threats to the DPE and SOEs are &#8220;State Capture, maladministration, and corruption.&#8221;<\/p>\n\n\n\n<p>Pravin Gordhan, the Minister of Public Enterprises, said that &#8220;the DPE has been pre-occupied with cleaning up malfeasance that characterised the costliest period for our SOEs&#8230; [and are working on] <strong>reclaiming our SOEs\u2019 from criminal syndicates who now want to subject us to State Capture 2.0.<\/strong>&#8221; <\/p>\n\n\n\n<p>The minister said that this is seen in &#8220;new forms of corruption and rent-seeking emerging&#8221; &#8211; however, he did not go into detail about these characteristics. <\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>Fierce opposition<\/strong><\/p>\n\n\n\n<p>First, it faces an uphill battle in assenting the NSEB, as &#8220;key stakeholders could express resistance or opposition to the Bill,&#8221; the report said. <\/p>\n\n\n\n<p>Opposition parties and market participants have been vocally sceptical that the model will insulate the companies from political interference.\u00a0<\/p>\n\n\n\n<p>For example, the advisory committee, which was proposed following pushback to the recommendation that the President be the sole appointee, remains just that\u2014an advisory<strong> <\/strong>body.
