African Rainbow Minerals (ARM) is currently involved in a legal dispute with Assore over a mining company jointly owned by the two companies.<\/p>\n\n\n\n
In a statement issued on the Stock Exchange News Service (SENS), ARM said the dispute relates to its right to appoint executives to and manage the operations of Assmang, in which it holds a 50% share.<\/p>\n\n\n\n
The legal proceedings were initiated by Assore, with both ARM and Assmang being named as defendants.<\/p>\n\n\n\n
In its statement, ARM said it would defend itself in court and bring its own proceedings against Assore.<\/p>\n\n\n\n
“Based on legal advice received, ARM believes that Assore’s claims and allegations have no substantive
merit,” the company said.<\/p>\n\n\n\n
“ARM intends to defend the Proceedings and will be bringing its own proceedings against Assore.”<\/p>\n\n\n\n
While ARM holds 50% of Assmang’s voting rights, the other half is held by Assore, with neither company having an outright majority.<\/p>\n\n\n\n
While the legal proceedings are underway, ARM said the two companies would continue to manage Assmang’s operations.<\/p>\n\n\n\n
“Notwithstanding the matters in dispute, ARM will continue to manage Assmang in accordance with its
contractual rights and obligations,” the company said.<\/p>\n\n\n\n
“ARM remains committed to Assmang creating competitive value and returns for its shareholders and other stakeholders.”<\/p>\n\n\n\n
It said that representatives from each company would still communicate with one another regarding the mining company’s operations.<\/p>\n\n\n\n
“In terms of the ongoing operations of Assmang, representatives of ARM and Assore continue to engage with each other in connection with the business,” it said.<\/p>\n\n\n\n
ARM also noted that the legal proceedings were unrelated to the dividend declaration for Assmang, which has yet to be announced.<\/p>\n\n\n\n
“None of the claims contained in the Summons relates to the quantum or timing of the dividend, and ARM is committed to maximising the payment of dividends as required by the Memorandum of Incorporation and shareholders\u2019 agreement of Assmang,” the company said.<\/p>\n\n\n\n
“There are ongoing discussions between ARM and Assore representatives to determine the timing and quantum of an appropriate final dividend to be declared and paid by Assmang to its shareholders”.<\/p>\n\n\n\n
ARM is a major player in South Africa’s mining industry, with a market cap of roughly R30.85 billion and was founded by South African billionaire Patrice Motsepe.<\/p>\n\n\n\n
Motsepe stepped down as executive chairman of the company in February 2026 but remains active as a non-executive chairman.<\/p>\n\n\n\n
