Shareholders of Trematon Investments have voted in favour of selling the Generation Education group for a cash price of R172 million.<\/p>\n\n\n\n

At a shareholders’ meeting on 14 October 2026, investors in Trematon voted on the sale of the private school group, with 98% in favour of the disposal.<\/p>\n\n\n\n

The results of the shareholders’ meeting were announced by Trematon on the Stock Exchange News Service (SENS).<\/p>\n\n\n\n

In its announcement, the company said the votes on “approving the Disposal were approved by the requisite majority of votes.”<\/p>\n\n\n\n

The Generation Education group is being sold to<\/a> the Education Investment Impact Fund of South Africa Proprietary Limited (Edufund), established in 2020.<\/p>\n\n\n\n

The goal of Edufund is to simultaneously improve the quality of South Africa’s education and deliver competitive, risk-adjusted returns to investors.<\/p>\n\n\n\n

For Trematon, the sale was approved because the school group did not meet early growth expectations, with the investment group expecting its value to be realised only after several years.<\/p>\n\n\n\n

\u201cThe Generation Group has also not performed according to early growth expectations and, although it has potential, it will take several years to fully realise that potential,\u201d the group said.<\/p>\n\n\n\n

\u201cHolding the Generation Group indefinitely does not, in the board\u2019s view, offer shareholders a realistic path to realising that value.\u201d<\/p>\n\n\n\n

The sale also gives Trematon the opportunity to convert its investment in the school group into cash consideration.<\/p>\n\n\n\n

The Generation Education Group primarily operates in the Western Cape, with a focus on learner-focused and organic teaching and learning.<\/p>\n\n\n\n

\u201cOur goal is to create opportunities to grow independent and critical thinkers, who have no limit to their learning,\u201d the group said on its website.<\/p>\n\n\n\n

The school group opened its first school in 2016 in Sunningdale, Cape Town, before expanding to have four additional campuses in the province.<\/p>\n\n\n\n

The group also expanded into Gauteng in 2024, opening a campus in Modderfontein, Johannesburg.<\/p>\n\n\n\n

The disposal of Generation Education was first announced in June 2026, when Trematon said it would dispose of both its direct and indirect interests in the group.<\/p>\n\n\n\n

The group was a significant part of Trematon’s net asset value, but the company believed this was not fully reflected in its share price.<\/p>\n\n\n\n

Therefore, the company decided that selling and distributing the resulting proceeds would result in value for shareholders.<\/p>\n\n\n\n

While the disposal has been approved by Trematon’s shareholders, it is still subject to regulatory approval from the Competition Commission and Tribunal.<\/p>\n\n\n\n
